Scapegoat partners with a regional network of independent third-party logistics (3PL) warehouse providers (each a "Network Partner"). The Services are designed to dynamically calculate real-time estimated fulfillment rates based on the operational profile metrics provided by the User.
2. THE VACANCY CHAIN & AUTOMATED LEAD ROUTING: User acknowledges and agrees to the following structural routing mechanics of the Scapegoat platform: The Optimization Process: User is submitting data through an embedded platform on a specific Network Partner’s website (the "Host 3PL"). ICP Matching: The Host 3PL has a specific Ideal Customer Profile (ICP) based on specialized infrastructure, location, or capacity. If the data submitted by the User reveals that the User’s operational profile (including but not limited to inbound/outbound volumes, pallet counts, or storage footprint) is not an optimal match for the Host 3PL, the inquiry is classified as network exhaust traffic. Automated Network Routing: To prevent data rejection and save the User time, Scapegoat will automatically route the User’s operational specifications through the Vacancy Chain to match the User with an alternative Network Partner whose infrastructure directly aligns with the User's logistics requirements. Alternative Quotes: Consequently, the User explicitly authorizes alternative Network Partners within the Scapegoat ecosystem to evaluate the submitted data and issue alternative dynamic rate quotes.
3. DYNAMIC PRICING ESTIMATES: Non-Binding Quotes: All real-time dynamic pricing via on-screen display or automated PDF email generation, constitutes a good-faith operational estimate. Final Scope of Work: Dynamic rates presented do not constitute a final binding contract. Final binding logistics agreements are subject to physical verification of inventory profiles and a mutually executed formal Scope of Work (SOW) between the User and the designated Network Partner.
4. DATA USE, PROPRIETARY METRICS, AND PRIVACY: Submission of Operational Data: User represents and warrants that all supply chain metrics, volume projections, and contact information provided are accurate to the best of their knowledge. Authorized Processing: User grants Scapegoat and its Network Partners a secure, non-exclusive right to process and transfer the provided metrics internally for the sole purpose of generating rate quotes and facilitating business introductions. Data Restriction: Scapegoat does not sell consumer or business contact data to third-party advertising companies. Data movement is restricted to verified logistics operators within the closed Scapegoat network. 5. DISCLAIMER OF LIABILITY: Independent Entities: Scapegoat is a software and marketing routing service platform. Each warehouse within the network operates as an entirely independent business entity. Limitation of Liability: Scapegoat assumes no liability, and explicitly disclaims all responsibility, for the physical operations, inventory management, performance, delays, losses, or contractual disputes that may arise between a User and any Network Partner matching through the Vacancy Chain.
6. GOVERNING LAW: These Terms shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of California.

Automated Network Routing: If the Host 3PL determines that your volume, storage types, or product profiles do not align with their specialized infrastructure (classified as "exhaust traffic"), Scapegoat automatically routes your operational metrics to alternative independent warehouses within the Scapegoat network. Alternative Quote Generation: Verified network partners who possess the exact infrastructure required to service your account (e.g., "Warehouse B") will receive your operational parameters to calculate and present an alternative dynamic rate quote.
4. CALIFORNIA PRIVACY RIGHTS (CCPA/CPRA COMPLIANCE): If you operate as a California-based consumer, sole proprietorship, or business entity, you are entitled to specific protections under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA): Right to Know and Access: You have the right to request a disclosure of the specific pieces of operational and personal data we have collected and shared within our network. Right to Delete: You have the right to request the deletion of your personal and business contact information from our central network databases.
